1. User Agreement

2. Service Usage

Apex Vision Studios provides video production services, including but not limited to filming, editing, animation, post-production, and event videography. Our services are designed to help businesses and individuals create compelling visual content.

You agree to use our services in a responsible and lawful manner. You are responsible for ensuring that all content you provide to us complies with all applicable laws and regulations, including copyright laws. Apex Vision Studios reserves the right to refuse to provide services for any content that we deem to be inappropriate, illegal, or harmful.

We strive to deliver high-quality services and meet agreed-upon deadlines. However, we are not liable for delays caused by factors beyond our control, such as weather conditions, equipment malfunctions, or client-related delays. We will make every effort to communicate any potential delays and work with you to find a solution.

3. Intellectual Property

Apex Vision Studios retains all rights, title, and interest in and to all intellectual property created by us in connection with our services, including but not limited to videos, graphics, animations, and other creative works. Upon full payment for our services, you will own the final video product, but Apex Vision Studios retains the right to use the video for promotional purposes, unless otherwise agreed in writing.

You are responsible for obtaining all necessary rights and permissions for any content you provide to us, including music, images, and footage. You agree to indemnify and hold Apex Vision Studios harmless from any claims or damages arising from your use of copyrighted material without proper authorization.

Any unauthorized use, reproduction, or distribution of our intellectual property is strictly prohibited and may result in legal action.

4. Liability

Apex Vision Studios is not liable for any indirect, incidental, special, or consequential damages arising from your use of our services, including but not limited to loss of profits, loss of data, or business interruption. Our liability is limited to the amount you paid for the services in question.

We take reasonable precautions to protect your data and privacy. However, we cannot guarantee the security of your information. You are responsible for maintaining the confidentiality of your account information and passwords.

Apex Vision Studios is not responsible for the content of third-party websites or services that may be linked to our Site. Your use of third-party websites or services is at your own risk.

5. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising from these Terms and Conditions will be resolved in the state or federal courts located in Austin, Texas.

6. Payment Terms

Payment for services rendered by Apex Vision Studios is due according to the schedule outlined in the project agreement. Typically, this includes an initial deposit before production begins, followed by subsequent payments upon completion of specific project milestones.

Overdue payments may be subject to interest charges at a rate of 1.5% per month, or the maximum rate permitted by law, whichever is lower. Apex Vision Studios reserves the right to suspend or terminate services in the event of non-payment.

All payments must be made in U.S. dollars. Acceptable forms of payment include credit card, check, and electronic funds transfer.

7. Project Changes and Cancellations

Any changes to the project scope or timeline may result in additional charges. Apex Vision Studios will provide a written estimate for any requested changes before proceeding.

If you cancel a project after it has commenced, you will be responsible for paying for all work completed up to the date of cancellation, as well as any expenses incurred by Apex Vision Studios in connection with the project. Cancellation fees may also apply, as outlined in the project agreement.

8. Client Responsibilities

As a client of Apex Vision Studios, you are responsible for providing clear and timely feedback on all project deliverables. This includes reviewing scripts, storyboards, and video edits, and providing constructive criticism to help us refine the final product.

You are also responsible for providing all necessary materials and information in a timely manner, including logos, images, text, and other content required for the project.

Failure to meet these responsibilities may result in delays in the project timeline and additional charges.

9. Confidentiality

Apex Vision Studios agrees to keep all client information confidential and will not disclose any sensitive data to third parties without your express consent. This includes business plans, marketing strategies, and other proprietary information.

Similarly, you agree to keep confidential any proprietary information disclosed to you by Apex Vision Studios, including our pricing, production techniques, and client lists.

10. Termination

Apex Vision Studios may terminate this Agreement at any time if you breach any of the terms and conditions outlined herein. Upon termination, you will be responsible for paying for all services rendered up to the date of termination.

You may also terminate this Agreement by providing written notice to Apex Vision Studios. However, cancellation fees may apply, as outlined in the project agreement.

Upon termination, all rights and licenses granted to you under this Agreement will immediately cease.

12. Severability

If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will remain in full force and effect.

These Terms and Conditions constitute the entire agreement between you and Apex Vision Studios relating to your use of our Site and Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.
